Professional Fees and Payment

Our fee structure and payment terms are as follows:

  • Fees are quoted in Kenyan Shillings (KES) unless otherwise specified
  • Payment terms are outlined in engagement letters or proposals
  • Additional fees may apply for services beyond the original scope
  • Late payments may incur interest charges as permitted by law
  • Retainer fees may be required for ongoing services

Confidentiality

We maintain strict confidentiality regarding all client information and business matters. However, we may be required to disclose information:

  • As required by law or regulatory authorities
  • To prevent fraud or other illegal activities
  • With your explicit consent
  • To protect our legal rights and interests

Intellectual Property

All materials, documents, advice, and intellectual property provided by Maina Kamau & Associates remain our property unless otherwise agreed in writing. Clients may not reproduce, distribute, or use our proprietary materials without prior written consent.

Limitation of Liability

While we strive to provide accurate and professional services, our liability is limited as follows:

  • Our liability is limited to the fees paid for the specific service
  • We are not liable for indirect, consequential, or punitive damages

  • Professional liability insurance coverage applies as per Kenyan regulations

Termination of Services

Either party may terminate our engagement under the following conditions:

  • With written notice as specified in the engagement letter
  • For non-payment of fees
  • For breach of terms and conditions
  • If continuing services becomes illegal or impractical

Upon termination, clients are responsible for payment of all fees for services rendered up to the termination date.

Professional Standards

We commit to maintaining the highest professional standards and ethical practices in accordance with:

  • Institute of Certified Public Accountants of Kenya (ICPAK) code of ethics
  • Kenyan Companies Act and related regulations
  • Tax Procedures Act and other tax legislation
  • International accounting and auditing standards

Dispute Resolution

Any disputes arising from our services shall be resolved through:

  • Good faith negotiation between parties
  • Mediation through recognized professional bodies
  • Arbitration as per Kenyan arbitration laws
  • Courts of Kenya as a final resort

Force Majeure

We are not liable for any failure or delay in performance under these terms where such failure or delay is due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or other force majeure events.

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of Kenya. Any legal proceedings shall be conducted in the appropriate courts of Kenya.

Modification of Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of any modified terms.
